Negotiating Construction Contracts …Mistakes Everyone Can Avoid

Without a doubt, in Texas, the construction industry is beginning to boom again, both in the private and
public sectors. Not surprisingly, all manner of business entities are seeking work and contracts. Some
are real, some are unreal and some have great skills but not a clue about their current business
configuration. Your author of late has been asked to help a number of parties to construction contracts
literally dig out from under bad mistakes they easily could have avoided had they taken a little more
time and asked a few more questions. These are not mistakes that they needed a lawyer to avoid making.
These are mistakes they could have avoided if they had followed the advice provided below. We hope
these remarks prove helpful to you.
l. The parties to the contract MUST be authorized to do business in Texas.
No matter who you think you are dealing with, no matter how many times you are have dealt with them
in the past, the history of your relationship cannot be relied upon without independent verification. The
speed and stealth with which design firms, general contractors, subcontractors, suppliers and owners
convert from one legal or business entity into another can take your breath away.
